By accessing or using Zignt's website, applications, and services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Zignt provides an electronic signature platform that enables users to create, manage, and execute electronic signature workflows for contracts and documents. The Service includes:
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also add, modify, or remove features, functionality, or content. Material changes that adversely affect your use will be communicated in advance when reasonably practicable.
To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information. You must update your account information promptly if any changes occur.

Depending on your subscription plan, you may invite team members to access your account ("Authorized Users"). You are responsible for ensuring that all Authorized Users comply with these Terms. The account owner is responsible for all actions taken by Authorized Users.
You may close your account at any time by contacting us. We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason with or without notice. Upon termination, your right to access the Service ceases immediately.
Zignt offers the following subscription plans:
Plan features and pricing may change. Current subscribers will be notified of material changes at least 30 days in advance.
Paid subscriptions are billed monthly in advance. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. Payment is processed through Stripe, and you agree to Stripe's terms of service.
We may change subscription prices upon 30 days' advance notice. Price changes will take effect at the start of your next billing cycle after the notice period. Your continued use after a price change constitutes acceptance of the new pricing.
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, you will retain access to paid features until the end of your current billing period. Subscriptions are non-refundable, except where required by applicable law or at our sole discretion. Unused portions of a subscription period are not refundable.
If a payment fails, we will attempt to charge your payment method again. If payment continues to fail after reasonable attempts, your account may be downgraded to the Free plan or suspended. We will notify you of payment issues and provide an opportunity to update your payment information.
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying all applicable taxes, including VAT, GST, or sales tax, based on your location.
By using the Service, you consent to conduct transactions electronically and acknowledge that electronic signatures, contracts, and records have the same legal effect as their paper equivalents. This consent applies to all transactions conducted through the Service.
Electronic signatures created through Zignt are designed to comply with applicable electronic signature laws, including:
Zignt provides Simple Electronic Signatures (SES), which are appropriate for most commercial transactions. For transactions requiring Advanced Electronic Signatures (AES) or Qualified Electronic Signatures (QES) under eIDAS or equivalent standards, additional verification methods may be necessary. Enterprise plan users can enable optional ID verification for signers.

It is your responsibility to verify that electronic signatures are appropriate for your specific use case and jurisdiction.
When you send documents for signature, you are responsible for ensuring that signers have consented to electronic transactions, have access to the necessary technology to view and sign documents, and receive copies of signed documents. You must not send documents to signers who have indicated they do not consent to electronic signatures.
"User Content" means all documents, data, text, images, signatures, and other content you upload, submit, or transmit through the Service. You retain all ownership rights in your User Content.
By uploading User Content, you grant Zignt a limited, non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display your User Content solely as necessary to provide the Service to you. This license terminates when you delete your User Content or close your account, except for content that has been shared with third parties or is required for legal compliance.
You agree not to upload, submit, or transmit any content that:
We do not routinely monitor User Content but reserve the right to review, remove, or disable access to any User Content that we believe violates these Terms or applicable law, or upon receipt of a valid legal request.
We retain User Content for as long as your account is active and for a reasonable period thereafter. Signed documents and audit trails may be retained longer for legal compliance purposes. You can request deletion of your data in accordance with our Privacy Policy.
You agree not to use the Service to engage in any activity that is illegal, harmful, or interferes with our Service or the rights of others. Prohibited activities include but are not limited to:
Your use of the Service is subject to the limits of your subscription plan. Exceeding these limits may result in additional charges, reduced functionality, or suspension of your account.
You are responsible for ensuring your use of the Service complies with all applicable laws and regulations, including data protection laws, export controls, and industry-specific regulations.
The Service, including all software, designs, text, graphics, logos, icons, and other content (excluding User Content), is owned by or licensed to Zignt and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.
"Zignt" and related logos and names are trademarks of Zignt. You may not use these trademarks without our prior written permission. All other trademarks appearing on the Service are the property of their respective owners.
If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
The Service may integrate with third-party services such as Google Drive, Stripe, and others. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services.
The Service may contain links to third-party websites or resources. We are not responsible for the content, products, or services available from such third parties. Your use of third-party websites is at your own risk.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.
If you are a Customer that processes personal data of individuals in the European Economic Area (EEA), United Kingdom, or other jurisdictions with data protection laws, our Data Processing Agreement applies to your use of the Service.
We implement industry-standard security measures to protect your data, including 256-bit SSL/TLS encryption for data in transit and encryption at rest. However, no method of transmission or storage is 100% secure. You acknowledge that you transmit data at your own risk.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

The information provided about electronic signatures and legal compliance is for general informational purposes only and should not be construed as legal advice. You should consult with a qualified attorney regarding the legal validity of electronic signatures for your specific circumstances and jurisdiction.
We are not responsible for any content provided by third parties, including User Content. We do not endorse or guarantee the accuracy, completeness, or reliability of any third-party content.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIGNT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

You agree to indemnify, defend, and hold harmless Zignt and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute informally by contacting us at legal@zignt.com. We will attempt to resolve the dispute within thirty (30) days.
These Terms and any dispute arising from your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, United States. You consent to the personal jurisdiction of these courts and waive any objection based on inconvenient forum.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after the claim arose, or be forever barred.
These Terms, together with the Privacy Policy, Data Processing Agreement, and any other policies referenced herein, constitute the entire agreement between you and Zignt regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Zignt to be effective.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without your consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, or failures of third-party services.
We may provide notices to you by email to the address associated with your account, by posting on the Service, or by other reasonable means. You may provide notices to us by email at legal@zignt.com or by mail to the address in Section 16.
These Terms are for the benefit of you and Zignt only. There are no third-party beneficiaries to these Terms.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control.
