Acceptable Use Policy

This Acceptable Use Policy ("AUP") is part of our Terms of Service and governs your use of Zignt's electronic signature platform. Violations of this policy may result in suspension or termination of your account.

1. Purpose

This Acceptable Use Policy outlines the rules and guidelines for using Zignt's electronic signature platform. Our goal is to ensure that all users can use the Service safely, securely, and in compliance with applicable laws. By using Zignt, you agree to comply with this policy.

2. Permitted Uses

Zignt is designed for legitimate business and personal use of electronic signatures. You may use our Service to:

  • Create and manage contract templates for documents you have the right to distribute
  • Collect legally binding electronic signatures from consenting parties
  • Store and manage signed documents
  • Send signing invitations and reminders to legitimate recipients
  • Track the status of documents and signatures
  • Integrate with authorized third-party services
  • Collaborate with team members (on applicable plans)

3. Prohibited Conduct

You agree not to use Zignt for any of the following prohibited activities:

3.1 Illegal Activities

  • Any activity that violates local, state, national, or international laws
  • Fraudulent schemes, scams, or deceptive practices
  • Money laundering, terrorist financing, or other financial crimes
  • Creating or distributing documents for illegal purposes
  • Tax evasion or other financial fraud

3.2 Signature Fraud and Forgery

  • Forging or falsifying electronic signatures
  • Signing documents on behalf of others without proper authorization
  • Impersonating any person or entity
  • Using false identities or credentials
  • Manipulating audit trails or tampering with signed documents
  • Backdating documents or falsifying timestamps

3.3 Unauthorized and Harmful Content

  • Uploading documents you do not have the right to share or distribute
  • Documents containing malware, viruses, or malicious code
  • Content that infringes copyrights, trademarks, or other intellectual property rights
  • Defamatory, libelous, or slanderous content
  • Obscene, pornographic, or sexually explicit material
  • Content promoting violence, discrimination, or hatred
  • Documents containing confidential information without authorization

3.4 Spam and Abuse

  • Sending unsolicited signing requests (spam)
  • Sending documents to recipients who have not consented to receive them
  • Using the Service for bulk email marketing or advertising
  • Harvesting email addresses or other personal information
  • Creating accounts for the purpose of sending spam

3.5 Security Violations

  • Attempting to gain unauthorized access to the Service or other users' accounts
  • Probing, scanning, or testing the vulnerability of our systems
  • Circumventing authentication, encryption, or security measures
  • Interfering with or disrupting the Service or connected networks
  • Deploying denial-of-service attacks or similar malicious activities
  • Introducing malware, ransomware, or other harmful software

3.6 System Abuse

  • Using automated systems (bots, scrapers, crawlers) without permission
  • Circumventing usage limits, rate limiting, or access controls
  • Attempting to reverse engineer, decompile, or disassemble the Service
  • Modifying, adapting, or creating derivative works from the Service
  • Using the Service for competitive benchmarking or analysis
  • Reselling or redistributing the Service without authorization

3.7 Account Abuse

  • Creating multiple free accounts to circumvent usage limits
  • Sharing account credentials with unauthorized parties
  • Using another person's account without permission
  • Providing false information during account registration

4. Signer Consent Requirements

When you send documents for signature through Zignt, you are responsible for ensuring:

  • Signers have consented to receive documents electronically
  • Signers have the capability to access and sign documents electronically
  • Signers are informed of their right to opt out of electronic signatures
  • You have a legitimate business reason to send documents to each recipient
  • Recipients have an existing relationship with you or have requested the document

Sending signing requests to individuals who have not consented to receive them is a violation of this policy and may violate anti-spam laws.

5. Document Requirements

All documents uploaded to Zignt must:

  • Be documents you have the legal right to send and distribute
  • Be free from malware, viruses, or malicious code
  • Comply with applicable laws and regulations
  • Not contain prohibited content as described in Section 3.3
  • Be accurate and not misleading to signers

We reserve the right to scan uploaded documents for malware and to remove any content that violates this policy.

6. Fair Use and Usage Limits

Your use of the Service is subject to the limits of your subscription plan:

  • Free Plan: Up to 3 templates, 3 batches per template
  • Professional Plan: Up to 100 templates, unlimited batches
  • Enterprise Plan: Unlimited templates and batches

Excessive use that negatively impacts other users or our infrastructure may result in temporary rate limiting or other restrictions. We will contact you before taking action whenever possible.

7. Compliance with Laws

You are responsible for ensuring your use of Zignt complies with:

  • All applicable federal, state, and local laws
  • Data protection and privacy regulations (GDPR, CCPA, etc.)
  • Electronic signature laws (E-SIGN Act, eIDAS, etc.)
  • Industry-specific regulations (HIPAA, financial services regulations, etc.)
  • Export control and sanctions laws
  • Anti-spam laws (CAN-SPAM, CASL, etc.)

Zignt provides a technology platform and does not guarantee compliance with any specific regulation. It is your responsibility to ensure your use case is appropriate for electronic signatures in your jurisdiction.

8. Reporting Violations

If you become aware of any violation of this Acceptable Use Policy, please report it immediately to:

9. Enforcement and Consequences

We take violations of this policy seriously. Depending on the severity and nature of the violation, we may take one or more of the following actions:

  • Warning: For minor or first-time violations, we may issue a warning
  • Content Removal: Removal of violating content or documents
  • Feature Restriction: Temporary or permanent restriction of certain features
  • Account Suspension: Temporary suspension of your account
  • Account Termination: Permanent termination of your account
  • Legal Action: Referral to law enforcement or civil legal action

We reserve the right to take immediate action without prior notice for serious violations. Where appropriate, we will provide you with notice and an opportunity to address the issue before taking action.

10. Appeals

If you believe your account was suspended or terminated in error, you may appeal by contacting us at appeals@zignt.com. Please include your account information and a detailed explanation of why you believe the action was taken in error.

We will review appeals on a case-by-case basis and respond within 14 business days.

11. Changes to This Policy

We may update this Acceptable Use Policy from time to time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated policy.
